Hereinafter referred to as the Service Provider.
2. Scope of Application
These General Terms and Conditions (hereinafter the “GTC”) govern all services provided by Jack Management SRL, operating under the trade name Saleschamps, to its professional clients (hereinafter the “Client”).Any order, agreement, or collaboration implies full and unconditional acceptance of these GTC, which prevail over any other document issued by the Client, unless expressly agreed otherwise in writing.These GTC apply exclusively to B2B relationships. No services are provided to consumers within the meaning of the Belgian Code of Economic Law.
3. Nature of the Services
Saleschamps provides consulting, strategic, operational and technological services, including but not limited to:
Sales, Marketing & Growth Consulting
Strategic consulting in Sales, Marketing and Growth
Design and execution of Go-to-Market strategies
Structuring of sales and marketing foundations
Optimization of acquisition, conversion and retention processes
Growth and performance enablement
Fractional executive missions (CMO, CRO, Head of Growth, CPO, etc.)
Strategic coaching for founders and leadership teams
Digital & Product Services
Website creation (corporate websites, landing pages, conversion-oriented sites)
UX/UI design and user journey structuring
SaaS prototyping (MVPs, POCs, functional prototypes)Prototyping using AI, No-Code and Low-Code tools
Product discovery, validation and iteration support
The exact scope of services is defined in a quotation, commercial proposal or specific agreement accepted by the Client.
4. Formation of the Contract
The contract is deemed concluded upon the occurrence of any of the following:
signature of a quotation or agreement,
written validation by email,
electronic acceptance,
commencement of the services at the Client’s request.
All orders are firm and binding.5. Duration of the ServicesServices may be:one-off,or recurring (monthly, quarterly, semi-annual, etc.).
The duration, renewal terms and termination conditions are specified in the commercial proposal.
Unless otherwise agreed, all commitments are binding for the agreed period.
6. Obligations of the Service Provider
Jack Management SRL undertakes to:
perform the services with professionalism, diligence and good faith, mobilize the appropriate skills and resources, advise the Client in accordance with industry best practices.The Service Provider is bound by an obligation of means, not an obligation of results.
7. Obligations of the Client
The Client undertakes to:
provide accurate, complete and usable information,
actively collaborate in the execution of the services,
respect validation and feedback timelines,
appoint a decision-making contact person,
pay invoices in accordance with the agreed terms.
Any delay or failure by the Client shall not engage the liability of the Service Provider.
8. Financial Terms
8.1 Prices
Prices are expressed in euros (€), excluding VAT, unless otherwise stated.
8.2 Invoicing
Invoicing is carried out in accordance with the terms specified in the quotation or agreement:
monthly,
per phase,
or at the beginning of the period.
8.3 Payment Terms
Unless otherwise agreed, invoices are payable within fourteen (14) calendar days from the date of issuance.
9. Late Payment
In the event of late payment:late payment interest shall apply in accordance with the Belgian Act of 2 August 2002, a fixed compensation of 10% of the outstanding amount (minimum €40) may be claimed,the Service Provider reserves the right to immediately suspend the services without compensation.10. Termination
10.1 Termination by the Client
Any early termination of a binding commitment does not entitle the Client to any refund of amounts already invoiced or paid.
Any commenced period remains fully payable.
10.2 Termination by the Service Provider
Jack Management SRL may terminate the collaboration with immediate effect in the event of:
non-payment,lack of cooperation,
serious contractual breach,
conduct detrimental to the professional relationship.
11. Confidentiality
Each party undertakes to keep strictly confidential all information, data, documents and exchanges obtained in the context of the services.This obligation shall remain in force for three (3) years after the termination of the contractual relationship.
12. Intellectual Property
Unless expressly agreed otherwise in writing:all methodologies, frameworks, deliverables, prototypes, mockups, tools, concepts and content developed by Jack Management SRL remain its exclusive intellectual property; the Client is granted a non-exclusive, non-transferable, internal right of use only.
Websites, SaaS prototypes or tools delivered as part of the services are provided “as is”, without any guarantee of performance, compatibility, scalability or commercial viability. Any reproduction, distribution or external use without prior written consent is strictly prohibited.
13. Liability
The liability of Jack Management SRL is strictly limited to:proven direct damages exclusively attributable to the Service Provider, and capped at the total amount of fees invoiced during the three (3) months preceding the event giving rise to the claim.The Service Provider shall in no event be liable for:decisions made by the Client, commercial, financial or technical results,indirect damages (loss of revenue, data, business opportunities, reputation, etc.).
14. Force Majeure
Neither party shall be held liable for failure or delay in performance due to a force majeure event as defined under Belgian law.
15. Commercial References
Unless expressly objected to in writing by the Client, Jack Management SRL is authorized to mention the Client’s name, logo and a brief description of the project as a commercial reference.
16. Applicable Law and Jurisdiction
These GTC are governed by Belgian law.
Any dispute shall fall under the exclusive jurisdiction of the courts of the judicial district of the registered office of Jack Management SRL.
17. Final Provisions
Should any provision of these GTC be declared null or unenforceable, the remaining provisions shall remain in full force and effect.
